Dave has extensive experience in all aspects of business transactional work, including mergers and acquisitions and securities compliance under both the 1933 and 1934 Act. Dave has served as the lead attorney on numerous asset, stock and merger acquisitions and divestitures, representing public and private purchasers, sellers and investors. He has served as lead attorney on several initial and secondary public offerings and assists his publicly traded clients with their ongoing securities reporting and compliance issues. Dave is also a Certified Public Accountant.

Representative Experience

Represents buyers, sellers and investors in asset, stock and merger acquisitions and divestitures ranging in purchase price from several million to several billion dollars and involving public and private parties
Serves as lead counsel to companies in many different industries, assisting the companies in choice of entity issues, capital raising transactions involving angel investors, venture capitalists and other institutional investors, joint venture relationships, board fiduciary duties, and general corporate and contractual matters
Serves as lead counsel for both issuers and investors, including venture capitalists, in private equity and debt placements
Serves as lead counsel for issuers, underwriters and selling stockholders in initial and secondary public offerings
Serves as lead counsel for public companies assisting the companies in all aspects of their corporate life including 1934 Act reporting compliance, strategic planning, acquisition search and implementation, corporate finance and general corporate contracting matters
